SUMMARY OF DUTIES AT SHAPE INC.
Employed by Shape Inc. as Bookkeeper at a time when Shape's sales were less than
$200,000 annually. As Shape exploded with growth, was promoted to Chief
Accountant, Accounting Manager, and Controller. In 1982, when Shape Video, a
wholly-owned subsidiary, grew to require its own financial staff, transferred as
Controller of the new corporation. In 1983, Shape, because of lender's
requirements merged Shape Video back into the corporation. I continued as
Controller of the division which contributed approximately $50 million to the
company's annual sales. In 1985, I was promoted to the position of Business
Manager, which was my position until February 23, 1988.
My responsibilities as Business Manager were: Oversight of all Finance and
Accounting Activities, Credit & Collection, Contract Administration, and
participation with the Operations, Sales and Engineering Managers in the general
management of a $50 million division of a $200 million corporation.
On February 23, 1988, I was re-assigned as Director of Credit and Collections
for the entire corporation. In addition, I was appointed to the "Crisis Cash
Management Team" whose responsibility was to maintain the proper controls to
effect a turn-around of the company's financial situation under the direction of
Management Equities, Inc., a firm which specializes in salvaging companies in
financial difficulty.
On September 30, 1988, I completed the two month notice given with my
resignation in early August. My resignation resulted from my lack of confidence
in the new management structure under the direction of a new CEO appointed upon
completion of the goals set by the interim management team. My resignation came
upon notice that the interim team was being replaced.

Managed the finances of this telemarketing company that had sales exceeding $25
Million dollars. Extensive cash management activity required. In addition,
managed the finances of several affiliates.

Operates as a management consulting firm which specializes in helping small
businesses with a variety of solutions to their problems including, but not
limited to: Accounting, Bookkeeping, Planning, Income Tax Preparation, Marketing
Plans, Insurance Programs, etc. Additionally provides printed business forms,
checks, labels, etc. to the business community.

Contracted by the owners of PTG LLC, the former owners of Shape Inc. to assist
them in the re-structuring of this plastics injection molding company.
Duties include management of the finance and material control functions of this
$8 million dollar company.
